Memini Terms and Conditions
1. Agreement to These Terms
These Terms and Conditions (the “Terms”) govern your access to memini.life and related pages, products, memorials, and services (collectively, the “Services”) provided by Memini, LLC., doing business as Memini (“Memini,” “we,” “us,” or “our”). By accessing the Services, purchasing or claiming a Memini product, submitting content, or selecting an acceptance box, you agree to these Terms. If you do not agree, do not use the Services.
You must be at least 18 years old and able to enter a binding contract to purchase, claim, or manage a memorial. A purchaser buying a gift accepts the purchase terms; the person who claims or manages the memorial accepts the terms governing use of the memorial service.
2. What Memini Provides
Memini sells physical Memini Memorial Tags or related keepsakes containing a unique QR code or web address linked to a hosted digital pet memorial. A memorial may include photos, dates, stories, tributes, treats count, and other features we make available. Features may change as the Services develop.
Each unique code is intended to connect one physical unit to one memorial. The code itself does not establish ownership. Memini may use order information, possession of the unit, email verification, claim history, and other reasonable evidence to resolve a disputed or mistaken claim.
3. Orders Payment and Product Information
Prices, product details, finishes, availability, shipping estimates, taxes, and included features are shown at checkout or on the applicable product page. You authorize us and our payment providers to charge the amount shown at checkout. We may reject or cancel an order for suspected fraud, pricing or inventory errors, misuse, or another legitimate business reason. If we cancel after payment, we will refund the cancelled amount.
You are responsible for reviewing names, dates, addresses, and other order details before submitting them. Requests to change or cancel an order can be honored only if received before production or fulfillment begins. Our Refund and Cancellation Policy and Shipping Policy are incorporated into these Terms and control those subjects. Nothing in these Terms limits rights that cannot legally be waived.
4. Shipping Damage and Replacement
Shipping dates are estimates unless we expressly state otherwise. If shipment is delayed, we will provide any notice, cancellation option, or refund required by law. You must provide a complete delivery address and promptly report a product that arrives damaged, defective, incorrectly produced, or linked to the wrong memorial code. We may request photographs or other reasonable information before providing a repair, replacement, or refund.
5. Claiming and Managing a Memorial
A memorial is claimed through the process associated with its unique code. We may send a secure claim or editing link to the verified email address. Treat that link as a password: do not share it with anyone you do not authorize to manage the memorial, and notify us promptly if you believe it has been compromised.
The verified memorial manager controls the memorial, subject to these Terms. For gifts, family disagreements, duplicate claims, or transfer requests, Memini may pause changes and request reasonable proof before granting, transferring, or restoring control. We are not responsible for resolving ownership or family disputes beyond taking reasonable steps to protect the memorial and the Services. When Memini is given as a gift, only the recipient will receive access, edit and password links to manage the memorial page. The person gifting will not receive any emails or links to access rights, editing rights, or password rights from Memini.life.
6. Memorial Visibility
A memorial may be accessible to anyone who has its QR code or link. An unlisted page is not the same as a private page: recipients can forward the link, save content, or capture screenshots. If password or other visibility controls are offered, you are responsible for configuring them. No online privacy control is guaranteed to prevent every unauthorized access or disclosure. Do not post information you are unwilling to have viewed or shared.
7. Your Content
You retain ownership of photos, text, names, dates, tributes, and other material you submit (“User Content”). You grant Memini a worldwide, nonexclusive, royalty-free license to host, store, back up, reproduce, format, transmit, and display User Content only as reasonably necessary to operate, secure, support, and improve the Services. This license ends when the content is deleted from our active systems, except for reasonable backup, legal, fraud-prevention, or recordkeeping copies. We will not use a private memorial story or photo in advertising without separate permission.
You represent that you own or have permission to use and share your User Content and that it does not violate another person’s copyright, privacy, publicity, contractual, or other rights. Keep your own copies of all photos and materials. Memini is not an archival storage or backup service.
8. Tributes and Visitor Contributions
Visitors may be able to “leave a treat” or submit a tribute. A visitor who submits content grants the same limited license described in Section 7 and makes the same ownership and permission promises. Memorial managers and Memini may review, hide, or remove visitor content. We are not required to pre-screen tributes and do not endorse them. Memini may also remove tributes that break these terms.
9. Prohibited Conduct
You may not use the Services to:
- submit unlawful, threatening, hateful, harassing, deceptive, obscene, or intentionally harmful material;
- upload content that infringes intellectual property, privacy, publicity, or other rights;
- impersonate another person, falsely claim a Memini Memorial Tags or memorial, or interfere with another memorial;
- introduce malware, scrape or harvest data, probe security, bypass access controls, or disrupt the Services;
- use the Services for unsolicited marketing, commercial exploitation, or an unlawful purpose; or
- help another person do any of the above.
We may remove content, restrict access, suspend a claim, or terminate use when we reasonably believe these Terms, another person’s rights, or applicable law have been violated. When practical, we will try to preserve legitimate memorial content while addressing the problem.
10. Copyright Complaints
If you believe content on the Services infringes your copyright, send a written notice to our designated copyright contact listed in Section 18. The notice should identify the copyrighted work and the challenged material, provide your contact information, state your good-faith belief that the use is unauthorized, state under penalty of perjury that the notice is accurate and that you are authorized to act, and include your physical or electronic signature. We may remove the material and notify the submitting user. A user may submit a legally valid counter-notice. We may terminate repeat infringers when appropriate. If you decide to, or believe that, you may upload protected copyrighted content, you should decide to take the appropriate steps to register a copyright agent with the U.S. Copyright Office.
11. Charitable Contributions
For each qualifying completed purchase, Memini will contribute the amount stated at checkout or on the applicable product page to the organization selected by the purchaser. A refunded, cancelled, fraudulent, or charged-back purchase may not qualify. If a selected organization cannot accept the contribution, we may ask the purchaser to choose another eligible organization or direct the contribution to a comparable animal-welfare organization. The contribution is made by Memini; the purchaser is not entitled to a charitable tax deduction. Listing an organization does not mean it sponsors or endorses Memini unless we expressly say so.
12. Hosting and Service Changes
Memorial hosting is included with the qualifying purchase while Memini continues to operate the memorial service; it is not a promise of perpetual or lifetime hosting. We may maintain, modify, replace, suspend, or discontinue features for security, legal, technical, or business reasons. If we plan to discontinue the memorial service, we will provide reasonable advance notice when practicable and a reasonable opportunity to save or export memorial content in a format we make available. Temporary outages, broken third-party links, device limitations, or QR scanning conditions may affect access.
13. Privacy and Communications
Our Privacy Policy explains how we collect, use, disclose, and protect personal information and is incorporated into these Terms. By using the Services, you consent to transaction and service communications by email or other contact method you provide. Marketing communications are optional and may be unsubscribed from as described in the message.
14. Disclaimers
To the fullest extent permitted by law, the Services are provided “as is” and “as available.” Memini disclaims implied warranties of merchantability, fitness for a particular purpose, title, and noninfringement. We do not warrant uninterrupted access, permanent data retention, error-free operation, or compatibility with every device, camera, browser, Memini Memorial Tags location, or network. These disclaimers do not exclude any warranty or consumer right that cannot legally be excluded.
15. Limitation of Liability
To the fullest extent permitted by law, Memini and its owners, employees, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost data, profits, goodwill, or opportunity, arising from the Services or these Terms. Our total liability for any claim will not exceed the greater of the amount you paid Memini for the product or service giving rise to the claim or $100. These limits do not apply where prohibited by law or to liability that cannot legally be limited.
16. Indemnification
To the extent permitted by law, you will defend, indemnify, and hold harmless Memini and its owners, employees, contractors, and service providers from third-party claims, losses, and reasonable costs arising from your User Content, your violation of these Terms, or your violation of another person’s rights. This obligation does not apply to the extent a claim was caused by Memini’s own unlawful conduct.
17. Governing Law and Disputes
These Terms are governed by Idaho law, without regard to conflict-of-law rules. Before filing a claim, you and Memini agree to send written notice describing the dispute and requested resolution and allow 30 days for a good-faith attempt to resolve it. Unless applicable consumer law requires otherwise, any legal action must be brought in the state or federal courts located in Ada County, Idaho, and each party consents to their jurisdiction.

19. Changes to These Terms
We may update these Terms. We will post the revised version with a new effective date and provide additional notice when required by law or when a change materially affects existing memorials. Changes apply prospectively. If affirmative consent is legally required, the change will not apply until consent is obtained.
20. General Terms
These Terms, together with the policies incorporated above, are the entire agreement regarding the Services and replace prior discussions on the same subject. If a provision is unenforceable, it will be limited or removed only as necessary and the remaining provisions will remain effective. A waiver must be in writing and applies only to the specific instance. You may not assign your rights under these Terms without our consent; Memini may assign these Terms as part of a merger, financing, reorganization, sale, or transfer of the Services. Headings are for convenience only.
